Terms of Service

These Terms are effective as of of March 21, 2026

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services provided by Toth – Leanboost (“Leanboost”, “we”, “us”).

By accessing, registering for, or using any Leanboost services, including consulting services, digital learning content, coaching tools, or platform features (collectively, the “Services”), you agree to be bound by these Terms.

Additional terms may apply to specific Services. In the event of a conflict, such supplemental terms shall prevail.

2. Right of Modification

We may update these Terms from time to time for legitimate reasons including legal, regulatory, security, or operational requirements or to reflect changes to the Services.

If we make material changes, we will provide reasonable prior notice (e.g., by email, in-product notice, or website notification).

Updated Terms will become effective no earlier than 15 days after notice, unless changes are required immediately for legal or security reasons.

If you do not agree to the updated Terms, you may discontinue use of the Services and cancel your subscription before the changes take effect. Continued use of the Services after the effective date constitutes acceptance.

3. Description of Services

Leanboost provides professional consulting, coaching, workshop facilitation, assessment tools, and digital collaboration services designed to support reflection, development, and organizational learning.

The services provide frameworks, methodologies, and analytical tools and do not generate automated decisions or binding recommendations.

Services provided by Leanboost do not constitute psychological, medical, legal, or other regulated professional advice.

Leanboost does not guarantee specific outcomes resulting from the use of its services.

4. Nature of Assessments and Insights

Assessment tools and methodologies provided by Leanboost are intended for developmental, reflective, and organizational purposes.

They are not designed to diagnose psychological conditions, determine employment decisions, or replace professional judgment.

5. Eligibility and Account Registration

You must be at least 18 years old or have legal capacity to enter into binding agreements to use the Services.

You agree to provide accurate and complete registration information and to keep such information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

6. Toth- Leanboost Privacy Policy

Registration Data and certain other information about you are subject to our applicable privacy policy. For more information, see the full Toth - Leanboost Privacy Policy at: Privacy Policy.

You understand that through your use of the Toth - Leanboost Services you consent to the collection and use (as set forth in the applicable privacy policy) of this information, including the transfer of this information to Switzerland and/or other countries for storage, processing and use by Toth - Leanboost and its affiliates.

7. Fees, Billing and Subscriptions

Certain Services are offered on a paid basis. Applicable fees, billing cycles, and payment terms will be presented to you prior to purchase.

Subscription-based Services automatically renew for successive billing periods unless cancelled before the renewal date.

You authorize Leanboost or its payment processors to charge the applicable fees using your selected payment method.

We may change pricing for future billing periods by providing reasonable prior notice.

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your use of the Services.

8. Consulting Services

Leanboost may provide professional consulting, advisory, coaching, or facilitation services (“Consulting Services”).

The scope, duration, deliverables, and fees for Consulting Services will be defined in separate agreements, proposals, or order confirmations.

You acknowledge that Consulting Services are provided based on information and cooperation provided by you. Leanboost does not guarantee specific business, financial, or personal outcomes.

You remain responsible for all decisions made based on Consulting Services.

9. Online Courses and Digital Content

Leanboost may offer access to online courses, learning programs, certifications, or digital content (“Digital Content”).

Access is granted as a limited, non-transferable license for personal or internal business use.

Completion certificates, if provided, represent participation or performance within the Leanboost platform and do not constitute academic credit or professional accreditation.

Access duration to Digital Content may vary and will be communicated at the time of purchase.

10. Acceptable Use

You agree not to misuse the Services or use them in violation of applicable laws or these Terms.

Prohibited activities include:

  • uploading unlawful, infringing, or harmful content

  • interfering with platform security or functionality

  • impersonating other users or misrepresenting affiliation

  • attempting to access the Services by unauthorized means

Leanboost may take reasonable enforcement measures including content removal, suspension, or termination where necessary to protect users, comply with legal obligations, or maintain service integrity.

11. User Content 

Leanboost relies on information provided by users and clients.

We do not verify the accuracy, completeness, or reliability of user-provided data, assessments, or insights derived from such data.

You may submit, upload, or otherwise make available content through the Services (“User Content”).

You retain ownership of your User Content.

By submitting User Content, you grant Leanboost a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for technical purposes, display, and distribute such content solely to the extent necessary to operate, improve, and provide the Services.

This license terminates when the User Content is deleted from the Services, except where retention is required for legal compliance or backup purposes.

You represent that you have the necessary rights to submit such User Content.

Clients and users are responsible for ensuring that:

  • personal data processed within projects has been lawfully collected

  • necessary consents or legal bases exist

  • data shared with Toth-Leanboost is accurate and appropriate

Where services are delivered on behalf of an organization, the client remains the controller of the relevant personal data unless otherwise agreed.

12. Feedback and Contributions

If you provide suggestions, ideas, or feedback regarding the Services (“Feedback”), you grant Leanboost a non-exclusive, perpetual, royalty-free right to use such Feedback for any lawful purpose without obligation to you.

13. Third-Party Services and Integrations

The Services may include integrations with or links to third-party services, payment providers, or external platforms.

Leanboost is not responsible for the availability, accuracy, or performance of such third-party services.

Your use of third-party services is governed by their respective terms.

14. Service Availability and Changes

Leanboost may modify, update, suspend, or discontinue features or parts of the Services from time to time for legitimate operational, technical, legal, security, or business reasons.

Leanboost will use commercially reasonable efforts to maintain availability of the Services but does not guarantee uninterrupted or error-free operation. Temporary downtime may occur due to maintenance, system upgrades, third-party failures, or events beyond Leanboost’s reasonable control.

Where reasonably practicable, Leanboost will provide advance notice of material changes that significantly affect paid core functionality.

If Leanboost permanently discontinues a paid Service or materially reduces its core functionality, affected users may cancel their subscription effective before the next billing period.

Leanboost shall not be liable for modifications, interruptions, or discontinuation of Services that are reasonably necessary to maintain platform integrity, comply with legal obligations, address security risks, or improve overall service performance.

15. Suspension and Termination

You may stop using the Services at any time.

Leanboost may suspend or terminate access where:

  • you materially breach these Terms

  • payment obligations are not fulfilled

  • suspension is necessary to prevent security risks, fraud, or unlawful activity

Where appropriate, Leanboost will provide notice and an opportunity to remedy the breach.

16. Consumer Withdrawal Rights

If you are a consumer located in jurisdictions that provide statutory withdrawal rights for digital services, such rights remain unaffected by these Terms.

By requesting immediate access to Digital Content during a withdrawal period, you acknowledge that your right of withdrawal may be reduced or lost where permitted by applicable law.

17. Disclaimer

The Services are provided using reasonable care and skill.

Except where prohibited by law, the Services are provided “as available.”

Leanboost does not guarantee specific business, financial, or personal outcomes resulting from use of the Services.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Leanboost shall not be liable for:

  • indirect or consequential damages

  • loss of profits, revenue, or business opportunities

  • decisions or actions taken based on assessments, tools, or insights provided through the services

Users and clients remain solely responsible for how they interpret and apply any outputs, frameworks, or recommendations.

This limitation does not apply to liability for death, personal injury, fraud, wilful misconduct, gross negligence, or other liability that cannot be excluded under applicable law.

Total liability of Toth-Leanboost arising out of or in connection with the services shall be limited to the fees paid by the client in the twelve (12) months preceding the claim.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Canton of Aargau, Switzerland.

If you are a consumer residing in another country, you may benefit from mandatory consumer protection laws of your country of residence.

Unless otherwise required by law, the courts at Leanboost’s registered seat shall have jurisdiction.

20. Violations

Please report any violations of the TOS to our Customer Support
